These Dealer Terms & Conditions ("Terms") apply to all approved dealer accounts and dealer purchases from Ace Fabrication Ltd, also known as Ace Fab ("Ace Fabrication", "Ace Fab", "we", "us" or "our").

By applying for, accepting, or using an Ace Fab dealer account, the dealer ("Dealer", "you" or "your") agrees to these Terms.

1. Dealer Eligibility & Approval

1.1 Ace Fab dealer accounts are available to established automotive businesses and other approved businesses that purchase Ace Fab products for resale or use in their business.

1.2 Applicants must provide accurate and current business information, including business name, contact details and NZBN where applicable.

1.3 Submission of a dealer application does not guarantee approval.

1.4 Ace Fab reserves the right to approve or decline any dealer application.

1.5 Dealer approval is subject to acceptance of these Terms.

1.6 Ace Fab may request additional information to verify a business or its intended use of a dealer account.

2. Dealer Account

2.1 Approved dealers will receive access to dealer pricing and any other dealer benefits made available by Ace Fab.

2.2 Dealer accounts are intended for the approved business only and must not be transferred, sold or shared with another business.

2.3 Dealer login details and account access must be kept secure.

2.4 The Dealer is responsible for activity carried out through its dealer account.

2.5 Ace Fab may suspend or terminate a dealer account if the account is misused, information provided is materially inaccurate, payment obligations are not met, or these Terms are breached.

3. Dealer Pricing

3.1 Approved dealers may receive exclusive dealer pricing on eligible Ace Fab products.

3.2 Dealer pricing is confidential and is intended solely for the approved Dealer.

3.3 Dealer pricing must not be disclosed or distributed publicly or to businesses that are not approved Ace Fab dealers.

3.4 Dealer pricing may vary between products and may be changed by Ace Fab from time to time.

3.5 Dealer pricing displayed within the Dealer's account applies at the time of ordering unless otherwise stated.

3.6 Ace Fab reserves the right to correct pricing errors or remove products from dealer pricing.

4. Orders

4.1 Orders placed through an approved dealer account are subject to acceptance by Ace Fab.

4.2 An order is not considered accepted until Ace Fab has confirmed the order and payment requirements have been satisfied.

4.3 Product availability and lead times may vary. Estimated lead times are provided as a guide and are not guaranteed unless expressly agreed in writing.

4.4 Ace Fab may contact the Dealer regarding product availability, substitutions or revised lead times before fulfilling an order.

4.5 Made-to-order, customised or specially manufactured products may be subject to additional terms and may not be cancelled once production has commenced.

5. Payment Terms

5.1 All dealer orders must be paid by bank deposit.

5.2 Bank deposit is the only payment method available for purchases made through an Ace Fab dealer account.

5.3 Bank account details and payment instructions will be provided at checkout or otherwise supplied by Ace Fab.

5.4 Payment must be received and cleared before an order is dispatched unless Ace Fab has expressly agreed to alternative payment terms in writing.

5.5 Ace Fab does not provide credit accounts or account-based payment terms unless expressly agreed in writing.

5.6 Ace Fab may withhold dispatch of an order where payment has not been received or cannot be verified.

5.7 Any bank charges or costs associated with making payment are the responsibility of the Dealer.

6. Pricing, GST & Taxes

6.1 Unless otherwise stated, all prices are in New Zealand dollars.

6.2 GST will be charged where applicable.

6.3 Dealer pricing does not include freight or other charges unless expressly stated.

6.4 Ace Fab reserves the right to change product and dealer pricing at any time. Price changes will not affect orders that have already been accepted and paid for, except where a pricing or administrative error has occurred.

7. Shipping & Delivery

7.1 Orders will be dispatched using the delivery method selected or arranged by Ace Fab.

7.2 Delivery timeframes are estimates only and may be affected by stock availability, production time, courier delays or circumstances outside Ace Fab's reasonable control.

7.3 The Dealer is responsible for providing accurate delivery information.

7.4 Ace Fab is not responsible for delays caused by incorrect delivery information supplied by the Dealer.

7.5 The Dealer should inspect products promptly upon delivery and notify Ace Fab of any apparent damage, shortage or discrepancy as soon as reasonably practicable.

8. Returns & Cancellations

8.1 Returns must be approved by Ace Fab before products are returned.

8.2 Products returned without prior approval may be refused.

8.3 Products must generally be returned unused, in saleable condition and in their original packaging where applicable.

8.4 Custom-made, modified or specially ordered products may not be eligible for return or cancellation.

8.5 Where a product is confirmed to be faulty or incorrectly supplied by Ace Fab, Ace Fab will assess the issue and provide an appropriate remedy in accordance with the applicable warranty and legal requirements.

8.6 Change-of-mind returns are subject to Ace Fab's approval and may be subject to return freight or other reasonable costs.

9. Product Warranty

9.1 Products supplied by Ace Fab are covered by the applicable Ace Fab warranty in effect at the time of purchase.

9.2 Warranty claims must be submitted to Ace Fab and may require photographs, product information, proof of purchase and other relevant information.

9.3 Warranty does not cover damage caused by misuse, incorrect installation, modification, accident, abuse, racing or competition use where excluded by the applicable warranty, or other use outside the intended application of the product.

9.4 The Dealer must not make warranty promises or representations to its customers that exceed the warranty provided by Ace Fab unless expressly authorised by Ace Fab in writing.

9.5 The Dealer remains responsible for complying with any applicable obligations it has to its own customers.

10. Product Installation & Modification

10.1 Dealers are responsible for ensuring that products are correctly selected and installed for their intended application.

10.2 Where professional installation is required, products should be installed by a suitably qualified or experienced person.

10.3 Modifying, altering or incorrectly installing an Ace Fab product may affect its warranty.

10.4 Ace Fab is not responsible for damage caused by incorrect installation, modification or use outside the intended application of the product.

11. Resale of Ace Fab Products

11.1 Dealers may resell Ace Fab products as part of their normal business activities.

11.2 Dealers must accurately represent Ace Fab products, including their specifications, applications, features and limitations.

11.3 Dealers must not make misleading or unsupported claims about Ace Fab products.

11.4 Dealers must not represent themselves as an employee, agent, authorised representative or exclusive distributor of Ace Fab unless expressly authorised by Ace Fab in writing.

12. Ace Fab Branding & Marketing Material

12.1 Approved Dealers may use Ace Fab logos, product images and marketing material supplied by Ace Fab for the purpose of promoting genuine Ace Fab products.

12.2 Ace Fab branding must not be altered in a way that misrepresents the brand or products.

12.3 Dealers must not register domains, social media accounts, business names or other identifiers that could reasonably be confused with Ace Fab without written permission.

12.4 Ace Fab may withdraw permission to use its branding or marketing material at any time.

12.5 Upon termination of a dealer account, the Dealer must cease representing itself as an approved Ace Fab dealer.

13. Dealer Conduct

13.1 Dealers are expected to conduct their business professionally and in a manner that does not knowingly damage the reputation of Ace Fab or misrepresent Ace Fab products.

13.2 Ace Fab may review dealer accounts where there are concerns regarding misuse of dealer pricing, account information, branding or products.

13.3 Ace Fab may suspend or terminate a dealer account where the Dealer materially breaches these Terms.

14. Account Suspension & Termination

14.1 Either party may end the dealer relationship at any time, subject to any outstanding orders or obligations.

14.2 Ace Fab may immediately suspend or terminate a dealer account where:

• payment obligations are not met;
  
• false or materially misleading business information has been provided;
  
• dealer pricing is intentionally disclosed or misused;
  
• the account is being used by an unauthorised business;
  
• Ace Fab branding is misused;
  
• these Terms are materially breached; or
  
• Ace Fab reasonably considers continued dealer access inappropriate.
  

14.3 Termination does not remove any payment obligations or other obligations that arose before termination.

14.4 Any unpaid amounts remain payable following termination.

15. Changes to Dealer Terms

15.1 Ace Fab may update these Terms from time to time.

15.2 Updated Terms will apply to future dealer orders and continued use of the dealer account following notification or publication of the updated Terms.

15.3 The Terms applying to an accepted order will generally be those in effect when that order was accepted, unless otherwise required by law.

16. Business-to-Business Transactions

16.1 The Dealer acknowledges that it is acquiring Ace Fab products in trade for business purposes.

16.2 Where permitted by New Zealand law, the parties agree that the Consumer Guarantees Act 1993 may not apply to transactions where the products are acquired for business purposes or for resale, provided any statutory requirements for contracting out are satisfied.

16.3 Nothing in these Terms is intended to exclude, restrict or modify any right or obligation that cannot lawfully be excluded, restricted or modified.

17. Compliance With New Zealand Law

17.1 Both parties agree to comply with applicable New Zealand laws and regulations.

17.2 Nothing in these Terms authorises either party to engage in misleading, deceptive or otherwise unlawful conduct.

17.3 The Fair Trading Act 1986 continues to apply to business dealings except where the law permits the parties to contract out and the required conditions for doing so have been satisfied.

18. Limitation of Liability

18.1 To the maximum extent permitted by law, Ace Fab will not be liable for indirect, consequential or economic loss arising from the supply or use of its products.

18.2 Ace Fab's liability is subject to any rights and remedies that cannot lawfully be excluded or limited.

18.3 Nothing in these Terms excludes liability where such exclusion is prohibited by law.

19. Events Outside Our Control

19.1 Ace Fab will not be responsible for delays or failure to perform its obligations where caused by circumstances beyond its reasonable control.

19.2 This may include natural disasters, transport disruptions, supplier delays, industrial action, shortages of materials, government action, or other circumstances outside Ace Fab's reasonable control.

20. New Zealand Law

20.1 These Terms are governed by the laws of New Zealand.

20.2 The parties submit to the jurisdiction of the courts of New Zealand.

21. Acceptance

By submitting a dealer application, accepting dealer account approval, placing an order using a dealer account, or continuing to use an Ace Fab dealer account, the Dealer confirms that it has read, understood and agreed to these Dealer Terms & Conditions.
